Terms and Conditions

This document constitutes the Terms and Conditions (“Terms”) and is an electronic record under the Information Technology Act, 2000 (“IT Act”) and rules thereunder. This electronic record is generated by a computer system and does not require physical or digital signatures. It is published in accordance with the IT Act and rules.

1. GENERAL

1.1 Platform Ownership

The domain https://citymall.live/ (“Website”), mobile application ‘City Mall Leader’ (“CL Application”), and mobile application ‘City Mall’ (“Customer Application”) (collectively, the “Platform”) are owned, managed, and operated by M/s Rashanbox Retail Private Limited, a private limited company incorporated under the Companies Act, 2013, with its registered office at 404, 4th Floor, Global Foyer, Golf Course Road, Sector - 43, Gurugram - 122002, India (“City Mall”, “We”, “Us”, or “Our”).

1.2 User Definition

The terms “You”, “Your”, or “User” refer to any person who visits, browses, uses, or accesses the Platform or avails any Services (defined below), including:

  • Community Leader: A person who creates a user account on the CL Application and places orders for Products (defined below) on behalf of Customers.
  • Customer: An end retail buyer who accesses the Customer Application to view the catalogue/product page of the Community Leader’s CL Page (defined below) and places orders for Products through the Community Leader.

1.3 Services

The Platform:

  • Offers for sale daily need products and fast-moving consumer goods, including but not limited to groceries, accessories, baby care, and home/kitchen products (“Products”).
  • Enables Community Leaders to create accounts and product pages (“CL Page”) on the CL Application to add, modify, or place orders for Products on behalf of Customers using an order cart (“Cart”).
  • Allows Customers to access the CL Page via the Customer Application to view, add, modify, or place orders for Products through the Community Leader.

(Collectively referred to as “Services”.)

1.4 Binding Agreement

These Terms, along with the Privacy Policy, Return Policy, Shipping Policy, and other specific terms related to Products or Services, constitute a legally binding agreement between You and City Mall for Your access, use, or purchase of Products/Services on the Platform.

1.5 Acceptance

By accessing, using, or registering on the Platform, or availing any Services, You agree to these Terms and all City Mall policies. If You do not agree, please refrain from using the Platform.

1.6 Amendments

City Mall reserves the right to modify, amend, or update these Terms at its discretion. Amended Terms are effective immediately upon posting on the Platform. Your continued use of the Platform signifies acceptance of the amended Terms. Check the “Last Updated” date at the top of this document to note revisions.

2. CREATING AN ACCOUNT

2.1 Community Leader Registration

To facilitate the sale and purchase of Products, Community Leaders must register on the CL Application by creating a CL Page, providing accurate information including name, phone number, address, and other details as outlined in the Privacy Policy.

2.2 Customer Registration

Customers must provide basic information (e.g., name, phone number, address) on the Customer Application to access a Community Leader’s CL Page and place orders.

2.3 Data Storage

Information provided by Users is stored as per the Privacy Policy for order fulfillment, delivery, transactions, and other purposes specified therein.

2.4 Account Security

Community Leaders are responsible for maintaining the confidentiality of their CL Page, display name, and password, and for all activities under their account. Notify City Mall immediately of any unauthorized use or security breach via support@citymall.live. City Mall may block access to a CL Page upon suspicion of unauthorized use.

2.5 Non-Transferability

CL Pages are non-transferable. Community Leaders are liable for verifying the accuracy of Customer information and indemnifying City Mall against claims arising from incorrect or unauthorized orders.

2.6 Suspension

City Mall reserves the right to suspend or terminate accounts providing fraudulent, inaccurate, or incomplete information, or engaging in unauthorized/illegal activities, and Users shall indemnify City Mall for losses incurred.

3. CONDITIONS OF USE

3.1 Eligibility

Users must be 18 years or older and competent to contract under the Indian Contract Act, 1872. Minors may use the Platform only under parental/guardian supervision.

3.2 Compliance

Users must act lawfully, comply with applicable laws, and not interfere with, disrupt, or harm the Platform or its Services.

3.3 Access Guarantee

City Mall does not guarantee uninterrupted, secure, or error-free access to the Platform and may suspend or discontinue Services without liability.

3.4 Accurate Information

Users must provide true, accurate, and complete information. City Mall may suspend or terminate access for false or incomplete information.

3.5 Prohibited Actions

Users must not:

  • Attempt unauthorized access to the Platform or its systems.
  • Use automated tools (e.g., scrapers) to access the Platform.
  • Engage in illegal activities or misuse the Platform.

4. PRIVACY

4.1 Privacy Policy

Your data is collected, used, disclosed, or processed as per the Privacy Policy. By using the Platform, You consent to these terms.

4.2 Security

City Mall employs industry-standard security measures to protect Your data, as detailed in the Privacy Policy, compliant with the IT Act and rules.

5. CODE OF CONDUCT

5.1 Prohibited Content

Users must not upload, share, or transmit content that:

  • Infringes intellectual property or privacy rights.
  • Is false, misleading, or violates any law.
  • Is harmful, harassing, defamatory, obscene, or promotes illegal activities.
  • Threatens national security or public order.

5.2 Prohibited Actions

Users must not:

  • Disclose confidential information.
  • Introduce viruses or malicious code.
  • Deface or restrict access to the Platform.
  • Impersonate others or infringe third-party rights.

5.3 Deep-Linking

Users must not use deep-linking, page-scraping, or similar methods to access or reproduce Platform content without authorization.

5.4 Indemnity

Users shall indemnify City Mall against losses arising from breaches of this Code of Conduct.

6. SALE, PURCHASE, AND DELIVERY OF PRODUCTS

6.1 Order Placement

Community Leaders place orders on behalf of Customers by adding Products to the Cart on the CL Application. Customers, after registration, may add/modify Products on the CL Page via the Customer Application.

6.2 Separate Orders

Each order placed by a Community Leader for a Customer constitutes a separate transaction, with individual invoices issued by City Mall to the Customer.

6.3 Delivery

Products are shipped to the Community Leader’s registered address by City Mall or its third-party logistics partners, as per the Shipping Policy. Community Leaders must inspect Products for merchantability and accuracy before accepting delivery and dispatching to Customers. Community Leaders are responsible for delivering Products to Customers free of defects or damage.

6.4 Liability

City Mall is not liable for delays or failures by Community Leaders in delivering Products to Customers. Title in Products transfers to the Customer upon dispatch to the Community Leader and invoice issuance. City Mall is not liable for defective/damaged Products post-delivery to the Community Leader or for interactions between Community Leaders and Customers.

6.5 Intermediary Role

City Mall acts as an intermediary facilitating transactions between Community Leaders and Customers and is not liable for disputes arising from their interactions.

7. RETURN AND REFUND

7.1 Return Policy

As per the Return Policy:

  • Users may return defective, damaged, or incorrect Products within 24 hours of delivery by notifying Customer Support at support@citymall.live.
  • Returns are accepted only for unopened, unused, and uncontaminated Products.
  • Community Leaders initiate returns by contacting Customer Support and providing images of the defective Product.
  • Customers must deliver returnable Products to the Community Leader’s premises.

7.2 Refund Process

Upon verification, City Mall initiates refunds to the Community Leader’s bank account (for cash payments) or original payment method (for online payments). Community Leaders are responsible for refunding Customers and indemnifying City Mall against related claims. City Mall is not liable for defects occurring during transit from Community Leader to Customer.

7.3 Non-Returnable Products

Certain Products marked as non-returnable on their product pages are not eligible for returns or refunds.

8. FEEDBACK AND PRODUCT REVIEWS

8.1 User Feedback

Users may provide feedback, ratings, or reviews for Products/Services, which City Mall may publish at its discretion. Feedback must comply with applicable laws and not infringe third-party rights.

8.2 Intermediary Role

City Mall acts as an intermediary under the IT Act for published feedback and disclaims liability for its content.

9. PAYMENT, INVOICING, AND LOYALTY REWARDS

9.1 Invoicing

City Mall issues invoices to Customers upon dispatch of Products, detailing the Product Fee (inclusive of delivery charges, if applicable).

9.2 Payment Collection

Community Leaders collect Product Fees from Customers (via cash or online methods) and remit them to City Mall upon delivery. City Mall is not liable for non-payment or partial payment by Customers.

9.3 Loyalty Reward Bonus

Community Leaders earn a percentage-based reward on successfully delivered orders (excluding returns/cancellations), paid weekly as per rates communicated by City Mall.

9.4 Cancellation

Orders may be canceled within the Cut-Off Time specified on the Platform, subject to cancellation charges as notified.

9.5 Currency

All transactions are in Indian Rupees (INR) and subject to applicable tax laws.

10. THIRD-PARTY ADVERTISEMENTS

10.1 Advertisements

Third-party advertisements on the Platform are labeled as “sponsored” or “advertisement” and are subject to City Mall’s advertising policy.

10.2 No Endorsement

City Mall does not verify or endorse third-party content and is not liable for its accuracy, reliability, or related losses.

10.3 Third-Party Links

City Mall is not responsible for third-party websites, content, or privacy practices linked via the Platform.

11. INDEMNITY

Users shall indemnify City Mall, its affiliates, officers, and employees against losses, claims, or damages arising from:

  • Breach of these Terms or City Mall policies.
  • Inaccurate or incomplete information provided by Users.
  • Interactions or transactions between Community Leaders and Customers.
  • Content posted by Users or misuse of the Platform.
  • Infringement of third-party rights.

12. INTELLECTUAL PROPERTY RIGHTS

12.1 Ownership

All intellectual property rights (IPRs) in the Platform, including text, graphics, code, trademarks, and logos, are owned by City Mall or its affiliates and protected under Indian laws.

12.2 User Restrictions

Users may not reproduce, distribute, or create derivative works from Platform content without City Mall’s prior written consent.

12.3 User Content

Content uploaded by Users (e.g., feedback) becomes City Mall’s property, with worldwide, perpetual, and transferable rights, subject to the Privacy Policy.

13. SUSPENSION AND TERMINATION

13.1 City Mall’s Rights

City Mall may terminate or suspend User accounts or remove content at its discretion, without notice, for reasons including false information, violation of Terms, or illegal activities.

13.2 User Termination

Users may deactivate their accounts by following Platform instructions or contacting support@citymall.live.

13.3 Post-Termination

Termination does not affect accrued rights or obligations.

14. LIABILITY

14.1 Limitation

City Mall’s aggregate liability for damages arising from these Terms or Platform use is limited to INR 1,000 or the value of the relevant order, whichever is higher.

14.2 Exclusions

City Mall is not liable for:

  • Indirect, incidental, or consequential damages.
  • Defects or issues post-delivery to Community Leaders.
  • Interactions between Community Leaders and Customers.
  • Inaccurate User-provided information.
  • Third-party content or services.

14.3 Force Majeure

City Mall is not liable for failures due to events beyond its control.

15. DISCLAIMER

15.1 As-Is Basis

The Platform is provided “as is” without warranties, express or implied, regarding its operation, content, or fitness for purpose.

15.2 No Liability

City Mall disclaims liability for:

  • Viruses or harmful components.
  • Product quality or safety.
  • Outcomes of Community Leader-Customer interactions.
  • Accuracy of feedback or third-party content.

15.3 Intermediary Role

City Mall is an intermediary under the IT Act and is not liable for disputes between Community Leaders and Customers.

16. SEVERABILITY

If any provision of these Terms is unenforceable, it shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in effect.

17. WAIVER

No waiver of any breach or provision shall be effective unless in writing and signed by City Mall. A waiver does not constitute consent to subsequent breaches.

18. GOVERNING LAW, JURISDICTION, AND DISPUTE RESOLUTION

18.1 Governing Law

These Terms are governed by Indian laws.

18.2 Jurisdiction

Subject to the dispute resolution clause, courts in Gurugram, India, have exclusive jurisdiction.

18.3 Dispute Resolution

Disputes shall be resolved through good-faith consultations within 30 days. Unresolved disputes shall be settled by arbitration under the Arbitration & Conciliation Act, 1996, by a sole arbitrator appointed by City Mall, with proceedings in Gurugram.

19. MISCELLANEOUS

19.1 No Partnership

These Terms do not create a partnership, joint venture, or employment relationship between You and City Mall.

19.2 Notices

City Mall may serve notices via email, SMS, or mail to Your registered contact details. Users may contact City Mall at support@citymall.live.

19.3 Marketing

Users consent to receive promotional materials as per the Privacy Policy.

19.4 Force Majeure

City Mall is not liable for delays due to unforeseen events.
